1. Introduction & Acceptance
1.1 These Terms & Conditions ("Terms") govern access to and use of the website operated by Neon Ace Ltd ("Company", "we", "us", "our") as well as the initial digital onboarding and payment frameworks processed via our online checkout.
1.2 By accessing this website or processing a payment through our checkout systems, you agree to be bound by these Terms.
1.3 These Terms outline our general website framework and baseline digital transaction rules. Specific project milestones, performance thresholds, and deep operational delivery mechanics are further governed by our primary Client Service Agreement executed upon onboarding.
1.4 In the event of any conflict between these Terms and any executed commercial agreement (including but not limited to the Client Service Agreement, Order Form, or Data Processing Agreement), the executed commercial agreement shall prevail.
2. Commercial Transactions, Billing & Retainers
2.1 Service Deployed: Neon Ace Ltd provides Commercial Revenue Infrastructure setup and optimization services tailored for UK Mechanical & Electrical contractors (the "Services").
2.2 Payment Structure: Payments consist of a one-off initial Setup/Implementation fee processed immediately at checkout, followed by ongoing monthly Operating Retainers billed automatically every 30 days via recurring card payment.
2.3 Currency: All transactions are processed in British Pounds Sterling (GBP) and are subject to VAT where applicable.
3. Cancellation & Refund Policy (Strict B2B Framework)
3.1 Business-to-Business Standard: Neon Ace Ltd operates strictly as a B2B service provider. Consumer protection regulations, including cooling-off periods or right-to-retract provisions, do not apply to transactions processed under these Terms.
3.2 All Sales Are Final: Due to the immediate allocation of engineering data tools, domain structures, and digital infrastructure configuration during the Setup Phase, all setup fees and monthly retainer payments are non-refundable.
3.3 Cancellation: Clients may cancel their ongoing monthly operating retainers by providing written notice to operational leadership ([email protected]) at least 14 days prior to the next scheduled billing date. Failure to provide timely notice will result in the processing of the next cycle's retainer.
3.4 Performance Remedies: Our 120-Day Commitment framework offers a service continuation mechanism (up to a 90-day execution extension) if baseline pipeline goals are unmet, as detailed in our service agreements. This extension constitutes the sole remedy and does not entitle the client to financial refunds, chargebacks, or cash rebates.
4. Permitted Use of Website & Systems
4.1 Users may access and use our digital properties solely for lawful commercial enquiries, including reviewing public service parameters or accessing onboarding checkouts.
4.2 Users must not complete any of the following unauthorized actions:
Attempt to scrape, harvest, extract, or systematically collect data from the website.
Use automated systems, bots, or scripts to access or interact with the website.
Attempt unauthorized access to any systems, servers, or connected infrastructure.
Copy, replicate, or reverse engineer website structure, logic, or design elements.

7.1 All corporate information, financial records, and data inputs processed through our checkouts are managed securely in accordance with our Privacy Policy and relevant UK GDPR frameworks. Neon Ace Ltd is fully registered with the Information Commissioner’s Office (ICO).
8. Governing Law & Jurisdiction
8.1 These Terms, along with all payment clearances executed through our connected Stripe gateway, shall be governed by and interpreted strictly in accordance with the laws of England and Wales.
8.2 The courts of England and Wales shall retain exclusive jurisdiction over any transaction disputes, website usage claims, or account escalations.
